Terms of Service

These Terms govern your use of MoveMembers (the "Service"), operated by NOPA STUDIO, a company registered in Singapore under UEN 53522570M. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

MoveMembers is a software platform that helps gyms and studios manage members, classes, bookings, payments and communication. We may add, change or remove features over time to improve the Service.

2. Your account

You must provide accurate information and keep your login credentials secure. You are responsible for all activity under your account and for the staff you give access to. You must be legally able to enter into a contract and use the Service for a legitimate business.

3. Free plan

The Service includes a free plan, with no time limit and no credit card required, for gyms with up to 25 active members. Paid plans raise that limit and unlock additional features. If your number of active members goes above the limit of your plan, you will be asked to upgrade before adding more; the members and data already in your account stay accessible and exportable.

4. Plans, billing and renewal

• Paid plans (Pro and Max) are billed monthly or yearly in advance through our payment processor, Stripe.
• Subscriptions renew automatically for the same period until cancelled.
• Prices are shown on our pricing page. We may change prices; changes apply from your next renewal and we will give reasonable notice.
• You are responsible for any taxes that apply to your purchase.

Some customers subscribe under a separate written agreement (an Order Form or Service Agreement). Where such an agreement exists, it prevails over these Terms on the commercial points it expressly names: plan, price, currency, term, minimum commitment period, renewal, notice and cancellation terms, payment schedule and one-time services. These Terms continue to apply to everything else.

5. Cancellation and refunds

Unless a separate written agreement provides otherwise (see section 4), you can cancel at any time from your account. Cancellation stops the next renewal; you keep access until the end of the paid period. Except where required by law, payments already made are non-refundable, including for partial periods. Where such an agreement sets a minimum commitment period, cancellation and refunds follow that agreement.

6. Your data and content

You own the data and content you put into the Service (your members, classes, payments and so on). You grant us the limited right to host and process it only to provide the Service. You can export your data at any time from Settings. See our Privacy Policy for how we handle personal data.

7. Acceptable use

You agree not to misuse the Service, including: breaking the law, sending spam or unlawful messages, uploading harmful code, attempting to breach security, reselling the Service without permission, or using it to store data you have no right to store. You are responsible for your communications to your members and for complying with messaging and privacy laws.

8. Intellectual property and restrictions

The Service, including its software, source code, design, user interface, text, graphics, logos and all related intellectual property, is owned by NOPA STUDIO and is protected by copyright and other laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your business during your subscription. No other rights are granted.

Except to the extent this restriction is prohibited by applicable law, you must not, and must not allow anyone else to:

• copy, reproduce, republish, distribute, sell, sublicense, rent, lease or otherwise commercially exploit the Service or any part of it;
• reverse engineer, decompile, disassemble, or otherwise attempt to derive or reconstruct the source code, structure or algorithms of the Service, except where the law expressly permits this and only to that extent;
• copy, imitate or create derivative or competing products from the Service's design, interface, workflows or code;
• scrape, crawl, harvest or bulk-extract data or content from the Service other than your own data through the features we provide;
• remove, obscure or alter any copyright, trademark or other proprietary notices;
• access the Service to build a similar or competing service, or for benchmarking without our written consent.

"MoveMembers" and "NOPA STUDIO", together with our logos, are our trademarks; you may not use them without our prior written permission. These restrictions survive termination of your account.

9. Availability

We work to keep the Service available and reliable, but we do not guarantee it will be uninterrupted or error-free. We may perform maintenance and may suspend the Service where needed for security or legal reasons.

10. Warranties and liability

The Service is provided "as is" without warranties of any kind to the extent permitted by law. To the maximum extent permitted by law, our total liability for any claim relating to the Service is limited to the amount you paid us in the 12 months before the claim. We are not liable for indirect or consequential losses, including lost profits or data, except where such limitation is not permitted by law.

11. Termination

You may stop using the Service and close your account at any time, subject to any separate written agreement (see sections 4 and 5). We may suspend or terminate your access if you breach these Terms or use the Service in a way that creates risk or legal exposure. On termination, your right to use the Service ends; we will make your data available for export for a reasonable period unless the law requires otherwise.

12. Governing law

These Terms are governed by the laws of Singapore, and any dispute will be handled by the competent courts of Singapore, unless mandatory consumer law provides otherwise.

13. Changes to these Terms

We may update these Terms. We will post the new version here and update the date above. Significant changes will be communicated by email. Continuing to use the Service after changes means you accept the updated Terms.
